(<a href="https://stocktwits.com/symbol/PSKY">PSKY</a>) on Monday <a href="https://stocktwits.com/news-articles/markets/equity/paramount-skydance-enhances-warner-bros-bid/cZbU7mJR4pG">enhanced</a> its $30 per share all-cash bid for Warner Bros. Discovery Inc.WBD said that it will review the amended tender offer and advise its stockholders of the Board's recommendation after the completion of that review.The company said that its Board is not modifying its recommendation with respect to the Netflix Merger Agreement.<h2 class="st-heading-2">PSKY’s Amended Offer</h2>Paramount enhanced its offer with a $0.25 per share and called it a "ticking fee," which is payable to WBD shareholders for each quarter its transaction has not closed beyond December 31, 2026. Paramount stated that this is equivalent to approximately $650 million cash value each quarter.&nbsp;Paramount as part of its enhanced bid&nbsp;also said that it will fund a $2.8 billion termination fee payable to Netflix and offer solutions to WBD's debt financing costs and obligations.&nbsp;<h2 class="st-heading-2">Valuation Difference</h2>As per Paramount, its new offer of $30 in cash for each outstanding share of WBD’s Series A common stock reflects a total equity value of $78 billion and an enterprise value of $108 billion. The company will source $54 billion through new transaction debt and WBD bridge loan refinancing, with $3.5 billion from Paramount.It also stated that WBD will be given flexibility regarding the refinancing of its $15 billion bridge loan.<h2 class="st-heading-2">Funding Termination Fee</h2>Paramount also stated that it will fund the $2.8 billion termination fee that WBD will owe Netflix if it decides not to proceed with the deal and instead accepts PSKY’s offer.The company also stated that the Netflix deal requires WBD shareholders to approve a transaction where they do not know how much actual cash consideration they will receive. Under the deal, Netflix would pay $27.75 per share for the segments, valuing the latter at about $82.7 billion in enterprise value.However, Paramount made a hostile bid for the entirety of Warner Bros, including its cable TV network a few days later. Warner has recommended that shareholders reject Paramount’s bid which offers $30 per share for the whole company.<h2 class="st-heading-2">Subpoena Raises Questions</h2>The Justice Department is reviewing Paramount’s hostile bid in addition to Netflix’s proposed deal.In its subpoena, the Justice Department has sought whether either of the two deals will hurt competition, and also probed how past mergers of studios or distributors affected competition for creative talent, WSJ said.The department can block the deals from going through if it determines that they may substantially reduce competition. However, these merger reviews can take as long as a year, WSJ noted.
