Is United Rentals Stock Underperforming the Nasdaq?

United Rentals has underperformed the Nasdaq Composite recently, though analysts maintain a cautiously optimistic outlook on its future performance.

H&amp;E Equipment Services (HEES) stock garnered retail attention on Monday after the company’s fourth-quarter earnings beat Wall Street’s estimates.On Friday, the company reported adjusted earnings of $36.1 million, or $0.99 per share, for the fourth quarter. H&E Equipment Services Stock In Spotlight After Q4 Earnings Beat, Retail Stays Ecstatic

Shares of H&amp;E Equipment Services (HEES) soared over 12% to hit record highs on Tuesday after the rental equipment company <a target="_blank" rel="noopener noreferrer nofollow" href="https://www.globenewswire.com/news-release/2025/02/18/3027673/0/en/H-E-Equipment-Services-Inc-Receives-Superior-Proposal-from-Herc-Holdings-Inc.html">said</a> it had received a superior acquisition proposal from Herc Holdings Inc. (HERC) compared to that of United Rentals, Inc. (URI).Under the terms of the Herc proposal, H&amp;E shareholders would receive $78.75 in cash and 0.1287 shares of Herc common stock for each share they own, with a total value of $104.89 per share. This is based on Herc’s 10-day volume-weighted average price (VWAP) as of market close Feb. 14, 2025.Once the deal is closed, H&amp;E’s shareholders would own approximately 14.1% of the combined company. Earlier, United Rentals had said it would acquire H&amp;E Equipment Services for $92 per share in cash.Herc <a target="_blank" rel="noopener noreferrer nofollow" href="https://www.businesswire.com/news/home/20250217058592/en/Herc-Holdings-Confirms-Superior-Proposal-to-Acquire-HE-Equipment-Services">said</a> its proposal represents a 14% premium to United Rentals’ cash-capped consideration.It also believes the proposal enables H&amp;E’s shareholders to share in the value created from the $300 million of earnings before interest, tax, depreciation, and amortization (EBITDA) benefits expected to be generated by the end of the third year following close.However, under the merger agreement with United Rentals, H&amp;E must pay a termination fee of approximately $63.5 million to United Rentals if H&amp;E terminates the merger agreement to enter into an agreement with Herc.United Rentals also clarified it does not intend to submit a revised proposal for the acquisition of H&amp;E, which will permit H&amp;E to terminate United Rentals’ previously announced merger agreement.Herc’s CEO Larry Silber said the company is pursuing the proposed combination with H&amp;E from a position of strength and views it as a path to accelerate Herc’s strategy and growth trajectory.“Herc’s cash and stock merger consideration provides H&amp;E shareholders with an immediate and significant premium. Investing.com-- H&E Equipment Services Inc (NASDAQ:HEES) accepted a $5.3 billion bid from Herc Rentals over an earlier offer from rival  United Rentals  (NYSE:URI), the Financial Times reported on Tuesday. 

Shares of H&amp;E Equipment Services, Inc. (HEES) more than doubled on Tuesday morning after United Rentals Inc. (URI) <a target="_blank" rel="noopener noreferrer nofollow" href="https://investors.unitedrentals.com/press-releases/press-releases-details/2025/United-Rentals-to-Acquire-HE-Equipment-Services-Inc/default.aspx">announced</a> it would acquire the firm for $92 per share in cash—over 100% higher than HEES’ closing price on Monday.United Rentals is looking to commence a tender offer by Jan. 28 to acquire all of the outstanding shares of H&amp;E common stock.Once the tender offer concludes, United Rentals will acquire all remaining shares not tendered in the offer through a second-step merger at the same price as in the tender offer. The deal is expected to close in the first quarter of 2025.The transaction price reflects an enterprise value of approximately $4.8 billion, including roughly $1.4 billion of net debt. The price implies a multiple of 6.9x adjusted adjusted earnings before interest, tax, depreciation, and amortization (EBITDA) for the trailing 12 months ended Sept. 30, 2024H&amp;E provides a mix of high-quality general rental fleets, including aerial work platforms, earthmoving equipment, material handling equipment, and other general and specialty lines of equipment.On a trailing 12-month basis through Sept. 30, 2024, the firm generated $696 million of EBITDA on total revenue of $1.5 billion.United Rentals believes&nbsp;the combination will expand its rental fleet by almost 64,000 units with an original cost of over $2.9 billion and an average age of under 41 months.The firm said the combination will generate approximately $130 million of annualized cost synergies within 24 months of closing.
