Novavax (NASDAQ: NVAX) had transformed from struggling clinical-stage biotech developing vaccines for respiratory diseases to heroic Covid-19 vaccine maker, credited with fighting to help end the public health emergency. Stanley Erck, Novavax’s chief executive of a dozen years, shepherded the company through that journey.

But the business had endured as much trouble as triumph, closing 2022 with serious financial issues, after flailing in efforts to capture a substantial slice of the Covid vaccine market. Novavax announced Erck’s retirement — and Jacobs’s appointment as his successor — in the new year.

“Even though the company was in more of a distressed position at the time, it was sitting on an amazing tech that could help change the world for the better, and ought to succeed,” Jacobs, 57, recalls thinking at the time.

He took the job, and that thought has been driving his decision-making ever since.

The first few months were painful. Soon after taking the helm, Jacobs slashed hundreds of jobs, instituted a hiring freeze and cut spending across the company. He also took the risky step of issuing a going concern warning, sending a signal to investors and customers that the company, for all its attributes, was on thin ice. 

Those actions, not surprisingly, drove the stock into the ground, but there was a method to Jacobs’s madness. It was all part of a broader plan to simplify the company and position it for its next phase of growth, culminating in the blockbuster deal Novavax struck in the spring with French pharmaceutical giant Sanofi.

The $1.2 billion agreement could drive billions more to the local vaccine maker in future years. It positions Novavax to sustain itself long-term by handing its Covid vaccine work over to Sanofi, getting rid of the pandemic infrastructure it no longer needs and, once that’s done, returning to its roots as a lean biotech with a single charge: research and development. 

“It’s a big strategy shift,” says Mayank Mamtani, senior managing director and senior biotech research analyst for B. Riley Securities Inc., noting the vaccine business can be difficult for smaller players like Novavax. “Scientifically, they’re doing all the right things of going back to their core.&quot;

They spent the next year living as Bajans rather than tourists, attending school and eating flying fish. His mom made oil paintings for locals, and sang and played guitar in the island’s hotels. Jacobs, then 9, spent every day in the Caribbean water and fell in-love with marine life.

It’s a passion that never went away. He took advanced high school biology classes, and entered college at the State University of New York at Plattsburgh as a bio major. He began studying the immune system, fascinated with how the body fights disease.

Then he took a marketing class with Nancy Church, then-chair of the Department of Marketing and Entrepreneurship in SUNY Plattsburgh’s School of Business and Economics. She became a mentor, recommending books and connecting him with an alum at Procter &amp; Gamble.

‘Back to our heart’

“I think he likes to challenge himself,” Church says. “He has the people skills to get them all to rally around, and move in a direction that the company needs to go in.”

Still, little could have prepared him for the challenges he has faced at Novavax.

Novavax entered the Covid vaccine race when the coronavirus crisis began, quickly securing billions of dollars from government contracts and stock sales, ballooning its staff, getting its protein-based vaccine through clinical trials and landing it emergency use authorization. Sure, it fell behind mRNA competitors Moderna Inc., and Pfizer Inc. and BioNTech SE, but the achievement was, still, tremendous — and resulted in Novavax’s first product to market.

But Novavax sustained a dizzying array of twists and turns. Soon, the crisis eased and demand for vaccines waned. By early 2023, Novavax had billions of dollars in liabilities, pending arbitration with a global vaccine nonprofit, expenses it couldn’t sustain and revenue goals it couldn’t hit.

So Jacobs reorganized his executive team, creating a chief strategy officer position, tweaking the reporting hierarchy and reshuffling roles as longtime executives including Dr. Gregory Glenn, the R&amp;D leader behind Novavax’s Covid vaccine charge, retired.

But Novavax sustained a dizzying array of twists and turns. Soon, the crisis eased and demand for vaccines waned. By early 2023, Novavax had billions of dollars in liabilities, pending arbitration with a global vaccine nonprofit, expenses it couldn’t sustain and revenue goals it couldn’t hit.

He slashed the workforce by more than 30% and set out to offload real estate, such as the company’s Czech manufacturing plant. He crafted a plan to crawl out from the crushing mountain of debt.

By May of this year, an investment firm had launched a proxy fight against Novavax, pushing to oust a few board members and arguing that management failed to make the business as profitable as it should be. Within a few days, Novavax and Sanofi announced their agreement — which, to be sure, had been in the works for months. The investor backed off.

The impact was hardly immediate. Novavax reported $415 million in second-quarter revenue, a 2% drop year over year, the bulk of which came from the Sanofi deal. It’s projecting between $700 million and $800 million in revenue for this year, lower than earlier estimates.

It also ended the second quarter with $1.1 billion in cash, roughly double its total in December. And the strategy’s reveal further created renewed optimism. Before the deal’s announcement, Novavax’s stock was trading below $5; it has since largely remained above $11 and has climbed as high as $22.

For those of us who have been around it was clear he was looking to drive a transformation yet faced an arduous path.  To me a partnership was inevitable but securing a fair deal was the challenge given BP saw &amp; perhaps contributed to a company on the brink with some significant assets in matrix-m &amp; commercially effective Covid vaccine.

3 big catalysts within a year can   further transform the company: expanded pipeline beyond infectious disease, successful phase 3 CIC &amp; standalone flu, &amp; full US approval.  

On pipeline they wouldn’t have made it a strategy center piece if the lab work hadn’t demonstrated exciting results across a range of potential products.

Optimism in phase 3 results are high but need to deliver on-time. BLA is a potential pothole if BP &amp; FDA wanted to screw them.  Apr’25 FDA deadline.  Well that would be the first FDA deadline that was on-time.  Could it get pulled if something was missing?
