Refi is +200 BPS so it is not a bad deal for holders.  The LOC is already refinance, the largest holders of the bonds are also the largest equity holders, they bought more shares in Q2 plus committed to the $32M new money bond issue, so of course this is going to get refinanced.  FOSL went the Wales/UK route because institutional holders do not constitute the 90% required for the exchange, retail holders are too diffuse of a group to work with, and they are avoiding the going concern clause that would accompany the inability to refinance the bonds 12 months before maturity.

@Oppval It&#39;s just a soft squueze to try and herd the straglers! From what I understand they only needed a majority which already puts them over the line. The straglers have a choice now - join the party or end up holding zombies! I could be reading this wrong though so would be interested to know where you got that 90% figure from?

@Balz18 @Sidetracker Everything is disclosed in the SEC filings.  They need 90% approval for the exchange and 75% for the restructure.  Two holders account for 60% of the notes and have committed to the additional $32M new money.  The second largest bond holder is also the second largest equity holder and added to the position in second quarter.  Total institutional ownership of bonds is 85% with retail owning 15%.  So far 72% of note holders have taken the exchange offer.  I am surprised the remaining 13% of institutional holders have not taken the exchange offer. 
 
All FOSL did was extend the expiration of the exchange offer to 10/15, which is the same day as the hearing for the restructuring.

@Sidetracker @Balz18 Investment committees, particularly those that invest in corporate fixed income, work slowly.  FOSL is trying to make this happen fast bc the need to get it done before filing the 3Q 10Q.
