The merger is expected to close in the first quarter of 2026.Under the deal, Civitas shareholders will receive 1.45 shares of SM Energy common stock for each Civitas share. SM Energy shareholders will own around 48% of the combined entity, while Civitas stockholders will own approximately 52%.The merger combines an asset base of approximately 823,000 net acres, which includes the Permian Basin in the southern US. The basin is known for its rich petroleum and natural gas deposits.The combined firm is expected to generate over $1.4 billion in free cash flow in 2025 and achieve an annual production value of $200 million, potentially rising to $300 million.
