Discovery’s agreement with Netflix, Inc.,” Paramount said in its statement.<a href="https://stocktwits.com/symbol/NFLX">NFLX</a> closed 3.4% lower on Monday, its fourth straight day in the red, while <a href="https://stocktwits.com/symbol/PSKY">PSKY</a> gained 9%. During this time, any WBD shareholder can sell their shares to Paramount, and if Paramount buys 51% of the outstanding WBD shares, it would control the company. The tender offer will be open for 20 business days, with the option for extension.Paramount’s offer is being funded by Affinity Partners, the investment firm led by Jared Kushner, President Donald Trump's son-in-law, alongside U.S. banks, private equity investors, and state-backed investment funds from the Middle East, Reuters reported.The Ellison family (Paramount chairman David Ellison and his father, Larry Ellison, the co-founder of Oracle) is providing additional backing. To win over WBD, Paramount has argued that its bid is the stronger offer, that it stands a better chance of clearing regulators, and that it would preserve a consistent theatrical release slate for WBD films.“Movies are one of America’s greatest exports. Although he has so far avoided publicly backing a bidder, he hinted that the Netflix deal could be a problem given its high share in the streaming market. About the bidders, “None of them are particularly great friends of mine,” he said at a White House roundtable on Monday.&nbsp;The Wall Street Journal reported, citing a person close to Trump, that the president would want Paramount and Netflix to compete for his approval of a deal.Meanwhile, analysts are looking at the Netflix deal with some concern for the streamer. Rosenblatt Securities lowered its price target on Netflix to $105 from $152 on Monday, while maintaining a Neutral rating on the streaming giant’s stock, citing "an extended period of uncertainty and risks" associated with the major acquisition.Pivotal Research downgraded Netflix to ‘Hold,’ also citing risks, including the significant breakup fee. Senator Elizabeth Warren said it would force “Americans into higher subscription prices and fewer choices over what and how they watch, while putting American workers at risk."Trump&nbsp;<a class="st-link-external" target="_blank" rel="noopener noreferrer nofollow" href="https://www.bloomberg.com/news/articles/2025-12-07/trump-says-netflix-warner-bros-deal-will-need-review">said</a> on Sunday that the deal would go through the established process. Before losing the big, Paramount had warned that a Netflix deal would not clear antitrust hurdles and even questioned the fairness of the WBD bidding process.&nbsp;Now, reports&nbsp;<a class="st-link-external" target="_blank" rel="noopener noreferrer nofollow" href="https://www.axios.com/2025/12/05/paramount-warner-brothers-netflix-hostile">say</a> Paramount could go hostile, pitching WBD shareholders on its all-cash, $30-a-share offer for the entire company — arguing it’s superior on both price and its cleaner path through regulatory approvals.Interestingly, Stocktwits data indicates that Paramount investors believe it could still clinch the deal. Retail sentiment for PSKY has strengthened and has been firmly lodged in the “extremely bullish” zone since Friday.&nbsp;“$PSKY hostile takeover is imminent now. AT&amp;T and Time committed to a seven-year “no blackout” pledge, ensuring Turner networks (CNN, TBS, TNT, etc.) would stay on rival distributors’ platforms during disputes. Similarly, Microsoft and Activision said the latter’s most popular title, “Call of Duty,” would be available on gaming platforms other than Microsoft’s Xbox for 10 years.In the case of Netflix and Warner Bros., the deal will be reviewed by the Justice Department, not the Federal Communications Commission (FCC), as WBD does not hold a TV license. We're talking about Netflix, Inc. itself, which may have pulled off an incredible M&amp;A heist in the world of entertainment.&nbsp;Reports suggest&nbsp;that Netflix has entered exclusive negotiations to buy the studio and streaming assets of Warner Bros Discovery, in a three-way bidding war with giants such as Paramount-Skydance and NBCUniversal owner Comcast.Details remain sparse. The Wall Street Journal first&nbsp;<a class="st-link-external" target="_blank" rel="noopener noreferrer nofollow" href="https://in.tradingview.com/news/DJN_DN20251204011072:0/">reported</a> late Thursday that the two sides would enter exclusive talks. At the same time, Reuters&nbsp;<a class="st-link-external" target="_blank" rel="noopener noreferrer nofollow" href="https://www.reuters.com/business/media-telecom/paramount-accuses-warner-bros-discovery-unfair-sale-process-cnbc-reports-2025-12-04/">added</a> that the negotiations value Warner Bros at roughly $28 per share, implying a total valuation of approximately $70 billion based on the total outstanding shares.<h2 class="st-heading-2">Battle Of Billionaires</h2>Netflix is clearly a top contender: it’s sitting on $9.3 billion in cash, runs the world’s leading streaming platform, and has the consumer insights to squeeze maximum value from HBO’s iconic catalog. Plus, WBD’s chief executive David Zaslav and Netflix co-CEO Ted Sarandos are reportedly on good terms. Although it is also possible that Sarandos is just driving up the price for his friend Zaslav, Bloomberg reporter Lucas Shaw&nbsp;<a class="st-link-external" target="_blank" rel="noopener noreferrer nofollow" href="https://www.bloomberg.com/news/newsletters/2025-10-26/warner-bros-discovery-sale-pits-billionaires-against-each-other">speculates</a>.&nbsp;The newly formed Paramount Skydance is the most interested party, having been the first to submit a $60 billion offer for the entire company three months ago. That would not only lower subscriber costs but also appeal to competition regulators.Acquiring only the studio and streaming assets would bolster Netflix’s own content and streaming operations while allowing it to steer clear of the one area it knows little about: cable TV.&nbsp;But there’s a hitch: both Netflix and HBO Max remain relative laggards in sports — a major growth arena where rivals like Amazon Prime Video and Paramount have pulled far ahead in recent years. That means, even after a potential combination, Netflix would be spending billions of dollars on sports rights.<h2 class="st-heading-2">Financials&nbsp;&nbsp;</h2>Netflix is reportedly making a&nbsp;<a href="https://stocktwits.com/news-articles/markets/equity/netflix-said-to-have-made-85-cash-bid-for-warner-bros-discovery-report/cLIibTfRESz">majority-cash offer</a> for Warner Bros.' assets and is also working to secure tens of billions in financing to fund the purchase. That means it would spend only a small part of its cash in the bank and shares for the deal, but would end up with hefty debt.&nbsp;Netflix currently has a debt-to-equity ratio of about 3.8%, which is way lower than the median S&amp;P 500’s 21% (a lower percentage implies a better figure.)The other question is how much of Warner Bros.' hefty $60 billion debt Netflix would be expected to assume.&nbsp;Without financial terms, Netflix investors are growing slightly concerned. <ul class="summary-bullets"><li>Paramount Skydance announced a series of growth initiatives, including further workforce reductions, a higher cost-saving target, and increased investment in the streaming business.</li><li>Stock rose over 6% in the after-market session, following the results.</li><li>Stocktwits for PSKY flipped to ‘bullish’ from ‘extremely bearish.’&nbsp;</li></ul>Paramount Skydance Corp.’s shares rose 6.4% in the after-market session on Monday, after the company announced ambitious growth plans in its first report after the $8.4-billion merger of Paramount and Skydance, which was completed in August.<h2 class="st-heading-2">Growth Plans</h2>Paramount said it plans to reduce its workforce by an additional 1,600 people and aims to achieve at least $3 billion in cost savings. The new savings goal is $1 billion higher than Paramount’s previous target, the company said.
