@Muscle24 when you rush a small deal inorder to get a big deal done you never maximize value and we were to get $50 from illumina -  one would think legacy sharesholders would get this $30M but instead its getting diluted by 2b shares if im correct?

1. The Core Proposal: Expanding Authorized Shares

In the S-4 proxy filings for the Treeline merger, Standard BioTools (LAB) asks shareholders to vote on a charter amendment to increase its authorized common stock to 2,000,000,000 (2 Billion) shares.

Authorized Shares = The maximum legal ceiling of shares a corporation is permitted to issue in its charter.

Outstanding Shares = The actual number of shares currently trading in the market (~380M to 390M shares for LAB right now).

The request for 2 billion authorized shares is procreational accounting required to execute the all-stock merger with Treeline, not an immediate flood of 2 billion shares hitting the open market tomorrow.

I honestly don’t think you’ll ever see this above a dollar split adjusted for the next two years.  ￼ Let them go public through their own IPO process I for one dont want to own this (dividend out my $1.20 cash and give me 2% of the newco or id be happy w nothing.
