Kustom Entertainment (NASDAQ:KUST) appears to be entering a defining phase of its corporate evolution, moving decisively away from legacy business lines and sharpening its focus on what management believes is a significant opportunity in live entertainment, music festivals, and event ticketing. The company announced a binding agreement to divest its video solutions segment to Cycurion (NASDAQ:CYCU), a transaction that would effectively complete Kustom’s transition into a pure-play live entertainment company. Under the terms of the agreement, Kustom is expected to receive up to $5.5 million in total consideration, consisting of $1.25 million in cash, a $4.25 million secured promissory note payable over 36 months at 7% interest, and 2 million warrants to purchase Cycurion common stock. Management believes the transaction strengthens financial flexibility while preserving potential upside through the warrant component as the acquired assets are integrated into Cycurion’s cybersecurity platform.
