The deal is expected to close by the end of the year.&nbsp;WNS CEO Keshav Murugesh said, “By combining our deep domain and process expertise with Capgemini’s global reach, cutting-edge Gen AI and Agentic AI capabilities, a robust partner ecosystem, and advanced technology platforms, we are creating a powerful proposition that accelerates enterprise reinvention.”The executive also expressed confidence that WNS’s complementary portfolio of horizontal and industry-specific solutions will significantly enhance Capgemini’s business services footprint.The companies stated that the transaction is expected to increase Capgemini’s normalized earnings per share (EPS) by 4% in 2026 and by 7% in 2027,&nbsp;once the full benefits of the integration are realized.Capgemini expects the deal to boost annual revenue by 100 million to 140 million euros ($118 million to $165 million) by the end of 2027. It also anticipates annual cost savings and efficiency gains of 50 million to 70 million euros before taxes by that time.The accretion to Capgemini’s EPS would be 7% in 2027.The consummation of the transaction is subject to approval by the Royal Court of Jersey and WNS shareholders, as well as to receipt of customary regulatory approvals and other conditions.On Stocktwits, sentiment toward WNS stock was ‘neutral’ (50/100) late Sunday, before the deal announcement, down from the ‘bullish’ mood that prevailed a week ago. Investing.com-- French software firm Capgemini SE (EPA:CAPP) said on Monday it entered a deal to acquire New York-listed outsourcing firm WNS Holdings Ltd (NYSE:WNS) for $3.3 billion.

WNS (Holdings) Ltd. engages in the provision of business process management solutions. Its services include industry-specific offerings, customer interaction, finance and accounting, human resources, procurement, and research and analytics. It operates through the WNS Global BPM and WNS Auto Claims BPM segments. The WNS Global BPM is delivered out of its delivery centers in China Costa Rica, India, the Philippines, Poland, Romania, South Africa, Sri Lanka, the United Kingdom, and the U.S. The WNS Auto Claims BPM segment offers fault and non-fault repairs and legal services in relation to personal injury claims. The company was founded by Alan Stephen Dunning, David Charles Tibble and Neeraj Bhargava on February 18, 2002 and is headquartered in Mumbai, India.
