$CCCS the sharps know the deal price. they would have bid it up to 9 AH Friday if the deal was going to be at 11-12 imo.

My guess is another 20-30% premium from $8. Gets you to ~$10 zone ... maybe $10.50. That is $6.5 billion equity value on 616 million fully diluted shares, add 1.2 billion ish net debt for $7.7 billion deal all in ... vs $1.2B revs, 480 million EBITDA and maybe 350 million FCF.

look at $OPCH similar story ... news broke after hours about a deal, stock was up 4-5 bucks, then deal price was another 10-15% from that level.

@MikeyMcDermott I'm expecting $10 or so IF a transaction is announced given the trading price post rumor and the parties supposedly involved - I'll take it...

@IOMASS you should take a peek at LKQ -- very unusual trading. Pre-market spike. grinding on the 200 5 min moving average. There were some unusual options last week.

Let me know what you think.

@IOMASS it is part of the insurance claims/salvage/repair ecosystem plugged into CCC + repair shops and big buyer of salvage cars from IAA/CPRT -- largest dismantler in USA. They provide non-OEM and recycled OEM parts to repair shops if car not totaled by insurance.

They have large auto parts distribution biz in Europe and a specialty parts distribution biz for boats/RVs etc.

The thesis is it needs to be purchased, fixed up and pieces sold off.

PE target?

$1.5 billion EBITDA with 50-60% FCF conversion. Seems like lots of room for improvement as they have some ERP problems in Europe plus lots of other cost take outs.

@IOMASS yeah we will see. very odd trading behavior today. its very cheap at like 6x trough EBITDA. They started the review at 34 level in January 2026 and thought they were considerably undervalued then. Should have 700m FCF in H2 and bring net debt down to 3B. Feels like this LBO would work at 38 per share. unclear if LKQ could get 70% premium from here who knows. This thing is washed out to covid lows, and before that April 2013 levels. Needs to be sold.

@IOMASS GPC reportedly got $10B+ offer for NAPA in July. Unclear exact price or multiple but it was probably about 8.5-9x if true. that multiple gets you to 38-40 zone for LKQ. this used car/parts ecosystem really seems to be consolidating as we saw with ACVA, CCC (maybe), NAPA (reportedly) and LKQ?

@MikeyMcDermott Risk/Reward pretty attractive @$22ISH - hope it's tax selling - seems too easy!

@IOMASS my concern is process failed and there is no near-term catalyst. Not really interested in a 2+ year turnaround from here and battling the cyclicality of insurance claims / used car prices + salvage / and ADAS narratives. Plus it is just a nasty SOTP discount for 3 businesses that don't really make sense together.

@IOMASS management owns very little equity and actually this biz has very low stock based comp for obvious reasons (don't need to attract AI/engineer talent) for a dismantling/distribution biz.

if taken private, my guess is management would get better % of the equity as part of their comp plan.

ie I don't think Justin Jude gets in the way of a take private.
