This may be the first honest 10-K they've released in 3 years and it appears to be an autopsy.

Complete failure of the agri business.
Fraud on the farm purchase.
Fraud on the second farm deposit.
Fraud in the carbon credit investment.

In a more serious market, the SEC would bring charges for what any jury would consider material misstatement of facts going back to the pivot to the agri-foods strategy.

Now they're pursuing any sort of merger that would be a viable business. Why would anyone do that? With all of the debt and baggage, it's not worth it just to get access to a company structure that's already public.

Schadenfreude for me at this point, even though sadly I'm one of their victims. What a catastrophe.

@Strafe Roper should be on trial I think personally. There's a reason why Catia Jorge bounced out of this job within a few months. It was fraudulent.

My biggest regret was not selling the day Catia left.

I haven't had a position here for a while, but I have followed loosely.

I am absolutely FLOORED reading the legal proceedings section of the 10-K right now. There have to be at least a dozen NEW lawsuits against them since I last checked (including one by Kevin Mohan the former Chairman of the Board).

@Strafe in all honestly i'm down $40,000+ here and I have faith in the way Israelis strong arm everyone in the business world.

I think the Phytolon/Millennium Food Tech merger is going to happen - I don't see any other reason why an Israeli M+A guy would get involved in a fraudulent company like this or why the CEO of an Israeli company (Millennium) would be contracted as a rent-a-CFO unless this benefitted both of them..aka merger. This will spike on merger news, and honestly the natural food dye market has the potential to be huge if mass adopted by companies like Frito/Pepsi/McDonalds, etc. I know it's probably crazy to say this now, but I could see this flying back into a billion a year revenue company once the FDA halt is cleared.

I hope for the sake of anyone who owns shares here that things work out for the best.

I personally don't see it with all of the legal liabilities and ongoing lawsuits against the entity itself.

Frankly, I'm just pissed off. I can deal with making an investment mistake due to my own error in cognition- this was not that. This was outright securities fraud. They failed to report lawsuits. They lied about material facts of the agri-food operations. It's unfathomable to me that legitimate incompetence could have resulted in nearly everything they touched completely imploding, there had to be willful malfeasance.

@Strafe how do so many things fail at the same time? Is this bad luck or is this a pattern?

I think there was definitely fraud and they certainly tried to cover it up. The fact that they kept the lawsuits hidden from mandated disclosures and then when they finally disclosed one of them, I had already found 4 additional ones via PACER that they didn't include in the 10-Q's.

At the time, all of those lawsuits were naming SADOT Latam, specifically, which leads me to believe there were significant issues with the way the person(s) in charge of that trading office were conducting business. Meanwhile, management was painting a rosy picture of LATAMs trading volume growth.

Fast forward past that and we find out they were essentially told they legally don't own the farm they paid millions for, yet are projecting profits and margins on the crop harvests that they feasibly knew at that time were impossible.

Then you start to see why original management one by one were jumping ship.
