Under an Open Market Sale Agreement with Jefferies LLC, BNY Mellon Capital Markets, and UBS Securities, Galaxy can sell up to $500 million of new Class A common stock directly into the market over time at the company's discretion.&nbsp;ATM offerings allow issuers to raise capital opportunistically as market conditions permit, with proceeds flowing directly to Galaxy. Every new share sold reduces the ownership stake of existing shareholders.Separately, Galaxy<a class="st-link-external" target="_blank" rel="noopener noreferrer nofollow" href="https://www.sec.gov/Archives/edgar/data/1859392/000162828026032968/galaxy-resalesx3.htm">&nbsp;filed</a> a Form S-3 registration statement covering the&nbsp;potential&nbsp;resale of up to 265,061,636 shares of Class A common stock by existing holders, including partnership unitholders, exchangeable note investors, institutional buyers and insiders. Unlike the ATM program, the resale registration does not raise capital for Galaxy directly.The registered shares include:<ul class="summary-bullets"><li>213.1 million Class A shares issuable upon redemption of limited partnership units in Galaxy Digital Holdings LP</li><li>36.4 million tied to three exchangeable note issuances (3.00% due 2026, 2.500% due 2029, and 0.50% due 2031)</li><li>12.8 million from an October 2025 private placement</li><li>2.75 million held directly by registered holders</li></ul><h2 class="st-heading-2">Spotlight On Novogratz And Capital Group’s Galaxy Stakes</h2>Galaxy Group Investments LLC, the holding vehicle controlled by founder and CEO Michael Novogratz, owns 202,346,000 of the registered shares, a 51.91% stake in the company on a fully exchanged basis.&nbsp;Novogratz's entire position is registered for potential sale under the S-3. The registration does not mean Novogratz intends to sell the stake, but it gives the shares the ability to be publicly traded if sales eventually occur.The filing also shed light on Galaxy’s&nbsp;<a class="st-link-external" target="_blank" rel="noopener noreferrer nofollow" href="https://www.prnewswire.com/news-releases/galaxy-announces-460-million-strategic-investment-from-a-leading-asset-management-firm-302581126.html">October 2025 private placement</a>, which raised nearly $460 million at $36 per share, an 8.5% discount to the prior close. At that time, Galaxy described the buyer as "one of the world's largest asset managers." The May 8 SEC filing confirmed the buyer was Capital Group.The October transaction also included the sale of 3.75 million shares by certain Galaxy executive officers, including Novogratz, to Capital Group at $36 per share — a transaction valued at roughly $135 million. In the first quarter (Q1) of 2026, the company said HPC lease revenue from Core42 accounted for $21 million of its $34 million in total revenue. This means 62% of TeraWulf’s revenue now comes from its pivot toward data center infrastructure.&nbsp;Digital asset revenue, meanwhile, collapsed to $13 million from $34.4 million year-over-year (YoY). Total revenue remained flat, but beat Wall Street’s estimate of $33 million, according to Koyfin data. Nearly half of that was a non-cash mark-to-market charge on warrant liabilities, which have ballooned to over $1 billion on the balance sheet as the stock has risen.&nbsp;<a href="https://stocktwits.com/symbol/WULF/">WULF’s stock</a> dropped as much as 3.5% in pre-market trade, then gained almost 1.7% closer to&nbsp;market&nbsp;open. It was among the top trending tickers on Stocktwits at the time of writing. In Q1 of 2025, TeraWulf spent $24.6 million in cost of revenue to generate $34.4 million in digital asset revenue. Over the past quarter, it spent $2.4 million against $34 million in revenue."We expect the business to be increasingly driven by recurring, contracted revenue, reducing exposure to the volatility historically associated with bitcoin mining," said Chief Financial Officer Patrick Fleury.<h2 class="st-heading-2">TeraWulf’s AI Infrastructure Push Accelerates</h2>At the end of Q1, the company said it had 60 megawatts of critical IT capacity energized and generating revenue for Core42, the Abu Dhabi-based AI infrastructure company backed by G42, at its Lake Mariner campus in New York. The facility is one of the biggest in North America by power capacity.&nbsp;It also said that construction of a third building, CB-3, was nearing completion at quarter-end, with energization aligned with customer hardware deployment.
