(FCUV) rallied more than 67% on Monday after the company announced a private placement worth $4 million.Focus Universal, which provides patented hardware and software design technologies, said that it had entered into definitive agreements with institutional investors for the private placement of its common stock and pre-funded and investor warrants at a price of $3.58 per share.The transaction is expected to close around April 7, the company said.<h2 class="st-heading-2">Private Placement Details</h2>Focus Universal said that the offering consisted of the sale of about 1.12 million common units, each comprising either a share or pre-funded warrant, plus Series A and Series B warrants to buy shares at $3.33.Each unit was priced at $3.58, or at about $3.579 for pre-funded units, equal to the offering price per common share minus an exercise price of $0.00001 per pre-funded warrant.The company said that the pre-funded warrants are immediately exercisable with no expiry. Series A warrants, with an initial exercise price of $3.33 per share would also be exercisable immediately and expire in 24 months, while Series B warrants will expire in 60 months.
