(PS), the prospective parent company of Pershing Square Capital Management, and a closed-end fund, Pershing Square USA (PSUS).In its filing with the U.S. Securities and Exchange Commission (SEC), Pershing Square stated that it has already secured $2.8 billion in commitments ahead of the IPO.<h2 class="st-heading-2">Ackman Touts ‘Extraordinary Economic Characteristics’</h2>In a letter to shareholders, the billionaire investor touted “extraordinary economic characteristics” of Pershing Square as he sought to explain the fund’s long-term goal.“Our long-term goal for Pershing Square Inc. is to build one of the most valuable companies in the world by generating one of the best long-term performance records of any investor ever,” Ackman said.He added that, with permanent capital, Pershing Square has the ideal structure to pursue its investment strategy, which involves acquiring and long-term owning what the company considers some of the greatest businesses and long-term compounders of shareholder value.Ackman also explained that PSI can be considered a “meta” company, earning long-term fees from funds invested in high-quality businesses. He said that Pershing Square’s focus on liquid, large-cap stocks allows it to adjust positions easily and stay invested without pressure from investor flows.<h2 class="st-heading-2">What Will Investors Get?</h2>Investors who subscribe to shares of Pershing Square USA will also receive shares of the hedge fund, Pershing Square Inc. According to the SEC filing, investors who buy 100 shares of the closed-end fund PSUS will also receive 20 shares of the hedge fund, PSI.The closed-end fund’s shares are priced at $50 apiece, and the shares they will receive in the hedge fund will come at no extra cost.Investors participating in the $2.8 billion private placement will receive 30 shares of the hedge fund for every 100 shares of the closed-end fund, according to the filing.<h2 class="st-heading-2">Nearly Two-Year Delay</h2>Ackman had previously sought to take Pershing Square public in 2024, at a valuation of up to $25 billion. However, he shelved the plans, citing “enormous” sensitivity to the transaction size, in a letter to shareholders in July 2024.Pershing Square has about $30.7 billion in assets under management. The merged entity will also be listed on the New York Stock Exchange, the company said.Pershing Square also added that the newly merged entity, New UMG, will publish its financial statements under U.S. GAAP and be eligible for inclusion in the S&amp;P 500 and other indexes.UMG was spun out of Vivendi in 2021, with the company’s controlling shareholder, the Vincent Bolloré-led Bolloré Group, retaining a stake. The company is seeking to raise between $5 billion and $10 billion, according to the filing.Ackman had previously sought to take Pershing Square public in 2024.<h2 class="st-heading-2">Pershing To Adopt A Dual Listing Structure</h2>Pershing Square stated in its filing that the offering will take a dual listing approach. This includes the shares of Pershing Square USA, a closed-end fund, as well as those of Pershing Square Capital Management, a hedge fund.For every 100 shares subscribed by investors through the IPO, they will also receive 20 shares of the hedge fund. Investors participating in the $2.8 billion private placement will receive 30 shares of the hedge fund for every 100 shares of the closed-end fund, according to the filing.Investors will be able to subscribe to the company's shares at $50 apiece. The report further stated that Pershing would give fund investors some free shares in Pershing Square Capital as part of the deal.<h2 class="st-heading-2">Market Debut Could Come As Soon As Q1</h2>The firm’s partners are reportedly planning to offer up to 10% of their shares as part of the dual listing, which could take place as early as the first quarter. According to a Reuters News <a class="st-link-external" target="_blank" rel="noopener noreferrer nofollow" href="https://www.reuters.com/business/finance/ackmans-pershing-targets-5-billion-ipo-closed-end-fund-bloomberg-news-reports-2025-11-25/">report</a>, the closed-end fund is expected to mimic Ackman's existing hedge fund but offer lower fees and faster access to capital. The move could increase the fund’s appeal among a broader pool of investors, including pension funds, endowments, and retail investors who are typically excluded from hedge funds.Ackman said last year he planned to list a similar fund, Pershing Square USA Ltd., on the New York Stock Exchange and intended to raise as much as $25 billion, but temporarily pulled the listing after only raising about $2 billion.The closed-end fund structure reportedly made it difficult to raise capital because such funds often trade at a discount to their underlying assets. Bill Ackman Targets $5B IPO For New US Fund, With Some Free Shares As Sweetener: Report

According to a Bloomberg News report, the IPO of the closed-end fund will coincide with that of his hedge fund, Pershing Square Capital Management.

Bill Ackman’s Pershing Square is set to invest $900 million in Howard Hughes Holdings Inc. (HHH) to raise its <a target="_blank" rel="noopener noreferrer nofollow" href="https://www.globenewswire.com/news-release/2025/05/05/3073918/0/en/Pershing-Square-to-Invest-900-million-to-Acquire-Nine-Million-Newly-Issued-Shares-of-Howard-Hughes-Holdings-and-Transform-HHH-Into-a-Diversified-Holding-Company.html">stake</a> in the real estate company to 46.9%. HHH shares surged over 7% in Monday’s pre-market following the announcement.Pershing Square will acquire nine million newly issued shares of HHH. The companies said that the investment will enable HHH to acquire controlling stakes in high-quality, durable growth public and private operating firms while continuing to invest in and grow its core real estate development and Master Planned Communities business.Pershing Square will pay $100 per share to acquire its stake, representing a 48% premium to HHH’s closing share price on Friday.Ackman’s company said it “has generally agreed to limit its voting power to 40% and its beneficial ownership to 47%.”While Ackman has been named the Executive Chairman of the HHH Board of Directors, Ryan Israel, Pershing Square’s Chief Investment Officer, will become HHH’s Chief Investment Officer. Billionaire hedge fund manager Bill Ackman went on an offensive late Sunday night against President Donald Trump's tariff policy that has sent global markets into a tizzy and sparked fears of a recession.In a lengthy&nbsp;<a target="_blank" rel="noopener noreferrer nofollow" href="https://x.com/BillAckman/status/1908992002366292286">post</a> on social media platform X (formerly Twitter), Ackman acknowledged that Trump had framed tariffs as the most pressing geopolitical issue as other nations had exploited trade imbalances at the expense of American jobs and economic growth.Ackman warned that Trump's "massive and disproportionate tariffs on our friends and our enemies alike"&nbsp;risk sparking a global "economic nuclear war" and urged the president to "call a 90-day time out" to negotiate better trade deals and restore confidence."If, on the other hand, on April 9th we launch [an] economic nuclear war on every country in the world, business investment will grind to a halt, consumers will close their wallets and pocketbooks, and we will severely damage our reputation with the rest of the world that will take years and potentially decades to rehabilitate."&nbsp;"Business is a confidence game," he wrote.
