The fact iCaro paid for a pumping audio cast of VS means they care about the price. Nobody does that if they want the price where it is. Plus, once that S-4 comes out, they risk a huge selloff. It won't take much to get this below $1.00 and put them at risk of a Nasdaq deficiency letter. They need a cushion before that S-4 comes to light revealing all the securities fraud stuff. Plus, even when the reverse merger is completed, they won't want iCaro stock in the toilet to start it all off.
