Skydance is Ellison’s own 2006 production company behind Top Gun: Maverick and the Mission: Impossible films, so it is neutral while still being his. Warner Bros. Discovery executive Casey Bloys said HBO Max could eventually be bundled with Paramount+ following Paramount Skydance’s expected acquisition of WBD, citing the successful HBO Max-Disney bundle as a model. Speaking at Bloomberg Screentime in Los Angeles, Bloys said such a package “would make a lot of sense.” The deal is expected to bring major changes, including the potential consolidation of HBO Max and Paramount+. Bloys is expected to oversee the combined streaming operations following the departure of Paramount’s streaming chief Cindy Holland. A federal judge in California approved Paramount’s settlement of antitrust lawsuits brought by 12 state attorneys general and the Writers Guild, including a commitment to release 30 films annually in theaters. Why now: starting Oct 1, Paramount faced a 25-cent-per-share ticking fee until the deal closed, roughly $7M a day ($650M a quarter). And a $7B breakup fee if it walked. The cost of getting it done: five years of enforceable conditions. 30 theatrical films a year in years 1-2 (20 wide), 32 a year in years 3-5 (21 wide). $1.5B more in US production spending. $47.5M for displaced workers. Independent monitor. Separate cable-carriage negotiations. The judge still has to sign off. You can buy the company, but you can't consolidate the costs for five years.

The combined company moved its primary listing to the New York Stock Exchange under the ticker SKYD. Under the final terms, Warner Bros. Discovery shareholders received $31.0167 per share in cash, plus a $41.9 million adjustment related to the period before closing. The deal combines major film studios, streaming platforms, broadcast networks and news assets including CBS News and CNN. The combined company generates nearly $70 billion in annual revenue and targets at least $6 billion in annual synergies over the next three years. Management plans to release at least 30 theatrical films annually with 45-day exclusive windows and more than 180 TV series, while targeting over $10 billion in annual free cash flow by 2030. The gap between the price and the payout is down to about 7 cents. The market has moved from debating whether this closes to counting the days. The personnel news: David Ellison named Mattel's Ynon Kreiz co-CEO of the combined company, with executives reporting to both. That fills the hole Jeff Shell's April departure left. One loose end: a coalition of 40-plus labor and consumer groups is petitioning the court to reopen the antitrust settlement, with a proposed briefing schedule that runs past October 6.

I’ve held my $WBD since the AT&T spinoff and needless to say have been underwater for a long time. I’m within $2K of breakeven at this point and and seriously considering cashing out now. But I’m also thinking I’ve held this long, why not hold for the $31 buyout price. Thoughts?
