RILY Stock Rallies Ahead Of Much Anticipated Q4 Earnings Report

The company earlier this month had said that it expects to file its 2025 Annual Report on or before the extended deadline of March 31, 2026. 

<ul class="summary-bullets"><li>Earlier this month, Diana Shipping proposed to acquire all of the outstanding shares of Genco it doesn’t already own for $23.50 per share in cash.</li><li>Diana said the offer represents a 31% premium to Genco’s closing share price as of Nov. 21.</li><li>Diana on Friday has said that it will move ahead with its effort to elect a slate of candidates to the board of Genco Shipping.</li></ul><p>Genco Shipping &amp; Trading (GNK) said on Friday that its board remains open to engaging with Diana Shipping (DSX) upon receipt of an offer that appropriately reflects Genco’s intrinsic value and upside potential of the Genco business.&nbsp;</p><p>Genco Shipping had rejected a revised takeover proposal from Diana Shipping on Thursday, saying that the revised offer&nbsp;was substantially below Genco’s intrinsic value, especially in light of&nbsp;its superior returns,&nbsp;and premium earning assets.&nbsp;</p><p>Shares of GNK and DSX were down 3% and 4.8%&nbsp;respectively at the time of writing.&nbsp;</p><h2 class="st-heading-2">Diana’s New Offer</h2><p>Earlier this month, Diana Shipping proposed a&nbsp;cash acquisition of the outstanding shares of Genco it doesn’t already own for $23.50 per share. Diana said the offer represents a 31% premium to Genco’s closing share price as of Nov. 21, the last trading day before it first offered to buy the company.&nbsp;</p><p>“Rather than constructively engage with Diana regarding our premium proposal, the Genco Board has for the second time dismissed it without seeking any clarification,” said Semiramis Paliou, Diana’s Chief Executive Officer on Friday.&nbsp;</p><h2 class="st-heading-2">Diana’s Proxy Fight</h2><p>Diana will move ahead with its effort to elect a slate of candidates to Genco’s board after the company rejected Diana's increased acquisition offer, it said in a statement on Friday.&nbsp;</p><p>“Genco’s actions lead us to conclude that this Board and management team are more focused on entrenching themselves than maximizing value for their shareholders. This adds to the heavy selling pressure over the past month, during which the shares have slumped 31%.</p><p>The company also generated significant retail buzz. According to Stocktwits data, message volume on the platform increased by 1,850% over the past 24 hours and by 1,200% over the past seven days.</p><h2 class="st-heading-2"><strong>Q4 Revenue Beats Estimates Despite 27% Drop</strong></h2><p>Evolent’s fourth-quarter revenue declined 27% to $468.7 million, but came in just over Wall Street’s estimates of $467.5 million, according to Fiscal.ai data. On an adjusted basis, the company reported earnings of $0.08 per share, beating consensus estimates of $0.05 per share.</p><p>Evolent forecasts full-year 2026 revenue to be in the range of $2.4 billion to $2.6 billion, above the $1.88 billion revenue it reported in FY 2025. However, its adjusted earnings before interest, tax, depreciation and amortization (EBITDA) forecast of around $110 million to $140 million falls short of its FY2025 EBITDA of $151.2 million.</p><p>“While the addition of $900 million in new Performance Suite revenue in 2026, as well as the impact of significant health plan customer membership decreases in their Exchange products, create an impact on Adjusted EBITDA in the first half of the year, we believe our year-end 2026 margins should quickly step-up as new contract reserving effects ease throughout the year and our operating cost reduction plan ramps up across 2026,” CEO Seth Blackley said.</p><h2 class="st-heading-2"><strong>Keybanc Flags Lack Of Visibility In EBITDA Recovery&nbsp;</strong></h2><p>KeyBanc downgraded Evolent Health to ‘Sector Weight’ from ‘Overweight’ without adding a price target, according to The Fly. Although the firm described Evolent’s Q4 results as ‘solid’, KeyBanc had expected the company’s debt leverage to begin easing in early 2026. Instead, the brokerage sees leverage rising to about seven times before potentially moderating later in 2026.</p><p>Keybanc also added that the downgrade reflects “limited visibility into a meaningful EBITDA recovery in the near term.”</p><p>“While this increase in revenue creates a powerful foundation for EBITDA acceleration, it also creates a temporary headwind in 2026 due to our reserving methodologies and the timing of implementation of the new contracts. For CoreCivic, the revenues from ICE accounted for 40% of its entire fourth quarter revenue.&nbsp;</p><p>In December 2025, GEO Group was awarded a new two-year contract by ICE for the provision of Skip Tracing services. (CHGG) on Monday projected its first-quarter (Q1) 2026 revenues, which missed Wall Street expectations, and sent shares down in the extended hours of trading.&nbsp;</p><p>At the time of writing,&nbsp;the stock was down almost 5%.&nbsp;</p><p>The company also swung to loss&nbsp;in the fourth-quarter&nbsp;(Q4), further weighing&nbsp;down the stock.&nbsp;</p><h2 class="st-heading-2">Q4 Results</h2><p>Chegg reported a 49% drop in its total net revenues in the quarter to $72.7 million.&nbsp;However, it beat&nbsp;analysts' estimate of $71 million, as per data from&nbsp;Fiscal.ai.</p><p>It reported an adjusted net loss of $0.7 million or loss per share of $0.01, compared to a profit of $0.17 per share in the same quarter a year ago. Analysts on average projected a loss of $0.1 per share.&nbsp;</p><p>“This is a period of reinvention at Chegg.
