ADT agreed to be acquired by Josh Kushner’s private-equity firm Thrive Holdings in an all-cash deal valuing the home-security company at approximately $7.6B, with an enterprise value of $15.3B. Shareholders will receive $10 per share, a 45.6% premium to ADT’s October 27 closing price of $6.87. Shares surged 34% following the announcement. The deal combines ADT’s security expertise, technology and nationwide professional network with Thrive’s long-term capital and engineering capabilities. Once completed, ADT will become privately held and serve as the foundation of Thrive Holdings’ smart-home security business. Thrive owns and operates more than 75 companies across accounting, IT services and the built environment.
