HHH shares surged over 7% in Monday’s pre-market following the announcement.Pershing Square will acquire nine million newly issued shares of HHH. The companies said that the investment will enable HHH to acquire controlling stakes in high-quality, durable growth public and private operating firms while continuing to invest in and grow its core real estate development and Master Planned Communities business.Pershing Square will pay $100 per share to acquire its stake, representing a 48% premium to HHH’s closing share price on Friday.Ackman’s company said it “has generally agreed to limit its voting power to 40% and its beneficial ownership to 47%.”While Ackman has been named the Executive Chairman of the HHH Board of Directors, Ryan Israel, Pershing Square’s Chief Investment Officer, will become HHH’s Chief Investment Officer. Investing.com-- Howard Hughes Holdings Inc (NYSE:HHH) said on Tuesday that it was considering a revised proposal from Bill Ackman’s Pershing Square Capital to increase its holdings in the real estate company. 

Howard Hughes Holdings Inc. is a holding company. It operates through the following segments: Operating Assets, MPCs, Strategic Developments, and Seaport. The MPC segment is involved in the horizontal development of residential land and selling the improved acreage to homebuilders for the eventual sale of homes to new residents. The Strategic Developments segment focuses on building commercial properties at the appropriate time using the cash flow harvested from the sale of land to homebuilders which helps mitigate development risk. The Seaport segment includes a few multiblock districts largely under private management by a single owner and is being revitalized and enhanced into a mixed-use neighborhood featuring unique culinary and entertainment offerings. The company was founded on June 9, 2023 and is headquartered in The Woodlands, TX.
