Discovery Inc. (WBD), stating that the latter has a “clear path” to securing an even better offer from PSKY.In its presentation, Ancora stated that the Paramount offer for WBD “includes certainty and can be increased,” while it termed the Netflix Inc. (NFLX) deal as “flawed, inferior, and high risk.”“In contrast to Netflix’s highly questionable offer and the Discovery Global spinoff, Paramount Skydance Corporation (“Paramount”) is proposing to give shareholders real financial certainty with $30 per share in cash,” Ancora said in its presentation.<a href="https://stocktwits.com/symbol/PSKY">Paramount Skydance shares</a> were up nearly 0.7% in Wednesday’s pre-market trade, while&nbsp;<a href="https://stocktwits.com/symbol/WBD">Warner Bros. Discovery shares</a> gained nearly 1%. Retail sentiment on Stocktwits around both companies trended in the ‘bullish’ territory.<a href="https://stocktwits.com/symbol/NFLX">Netflix shares</a> were up 0.6% at the time of writing, with retail sentiment trending in the ‘bearish’ territory on Stocktwits.<h2 class="st-heading-2">Ancora Calls Out WBD For Choosing Netflix</h2>The activist investor said that the WBD board is calling on shareholders to vote for an “uncertain final cash consideration based on an unknown debt allocation and an unknown equity value of the Discovery Global spinoff.”The firm also pointed to antitrust concerns over the Netflix deal, while the Paramount deal has a “viable path to regulatory approval.” Ancora also added that the Paramount offer has the “credible backing of the Ellison Trust.”Paramount stated in its Tuesday announcement that the Ellison family and RedBird Capital Partners will contribute $43.6 billion in cash.If the WBD board refuses to re-engage with Paramount to maximize shareholder value, Ancora said it would vote against the Netflix deal.“Paramount has indicated its willingness to improve its proposal – stating that its offer was not “best and final” – demonstrating that there is a value-maximizing path forward,” Ancora added.<h2 class="st-heading-2">Ancora’s Position In WBD</h2>Ancora also formally announced that it has built a stake worth $200 million in WBD. According to a&nbsp;<a class="st-link-external" target="_blank" rel="noopener noreferrer nofollow" href="https://www.wsj.com/business/deals/activist-investor-pushes-warner-to-walk-away-from-netflix-deal-0bbe663e">report</a> by The Wall Street Journal citing people familiar with the matter, Ancora intends to continue buying shares of the company.The report added that if Ancora goes ahead with nominating director candidates, the focus would be on replacing those who have ties to WBD CEO David Zaslav.<h2 class="st-heading-2">Paramount’s Sweetened Offer</h2>This comes after&nbsp;<a href="https://stocktwits.com/news-articles/markets/equity/paramount-skydance-enhances-warner-bros-bid/cZbU7mJR4pG">Paramount sweetened</a> its $ 30-per-share all-cash offer for WBD. The company added a “ticking fee”, presenting an incremental cash consideration to WBD shareholders of $0.25 per share.Paramount stated that this is equivalent to approximately $650 million cash value each quarter, for every quarter the transaction is not closed beyond Dec. 31, 2026.The company also said that it will fund the $2.8 billion termination fee that WBD will owe Netflix if it decides not to proceed with the deal and instead accepts Paramount’s offer.<h2 class="st-heading-2">Paramount And Netflix's Offers Compared</h2>Paramount’s offer of $30 in cash for each outstanding share of WBD’s Series A common stock reflects a total equity value of $78 billion and an enterprise value of $108 billion. However, it missed analysts’ estimates of $1.32 billion, as per data from Fiscal.ai.&nbsp;<h2 class="st-heading-2">Q4 Details</h2>The company reported diluted earnings per share of $0.66, down from $1.01 per share it reported in the year-ago quarter. The company said that in Q4 2024, the profit included a $0.47 benefit from the Q4 2024 tax benefit and regulatory accrual reversal.Transaction-based revenues increased 15% year-over-year to $776 million, primarily driven by growth in options and equities revenue. However, the growth was partially offset by cryptocurrencies revenue of $221 million, which was down 38% from a year-ago.“2025 was a record year where we set new highs for net deposits, gold subscribers, trading volumes, revenues, and profits, and we closed the year with a strong Q4,” said Shiv Verma, Chief Financial Officer of Robinhood.“This year we reached nearly a third of 1 trillion in assets across the platform, and we're well on our way to exceeding a trillion of assets in the coming years with our rapid product velocity and the $100 trillion plus generational wealth transfer already underway,” Robinhood executive told analysts during an earnings call.&nbsp;<h2 class="st-heading-2">New Launches</h2>Robinhood has been expanding its offering from trading, tokenization to prediction markets. The company has also been expanding its footprint outside of the U.S. to tap more customers for its platform.&nbsp;“We'll be launching and scaling Robinhood Chain, which is our layer two, making it the best chain to trade real world assets,” Robinhood executive said during its earnings call.&nbsp;“Our referral program for advisors is also going live this year, which will connect our customers to high quality Registered Investment Advisors, which are powered by Tradepmr to help them with their comprehensive financial needs. And we believe we can be the major beneficiary of the 100 trillion plus wealth transfer,” the executive added.&nbsp;<h2 class="st-heading-2">Outlook</h2>The company did not provide an outlook for its revenue or its profit for the full-year 2026.However, it did provide an outlook for its expenses. Why Is Robinhood Stock Falling After-Hours Despite Record Q4 Revenue?

(F) edged up after hours on Tuesday after the automaker guided core profit for 2026 within Wall Street estimates despite its fourth-quarter (Q4) earnings trailing Wall Street expectations.The company now <a class="st-link-external" target="_blank" rel="noopener noreferrer nofollow" href="https://s205.q4cdn.com/882619693/files/doc_financials/2025/q4/Ford-Q4-2025-Earnings-Press-Release.pdf">expects</a> a full year 2026 adjusted earnings before interest and taxes (EBIT) of $8.0 billion to $10.0 billion, in line with an analyst estimate of $9.07 billion, and above the $6.8 billion recorded last year.A majority of this would be brought in by the company’s segment dedicated to commercial customers and partially offset by losses in the electric vehicle segment called Model e, it said.<h2 class="st-heading-2">The Redeeming Outlook</h2>The company said adjusted EBIT from its commercial vehicle segment is expected to be between $6.5 billion to $7.5 billion, while EBIT from the company’s hybrid and gas vehicle segment is estimated to be $4 billion to $4.5 billion.Model e, however, is expected to incur losses of $4 billion to $4.5 billion in 2026.The company also guided to 2026 capital expenditures of $9.5 billion to $10.5 billion, up from $8.8 billion in 2025, and free cash flow of between $5 billion and $6 billion for the full year.<h2 class="st-heading-2">Q4 Earnings</h2>The carmaker reported disappointing Q4 adjusted earnings per share of $0.13, significantly below the $0.39 reported in the corresponding quarter of 2024, and lower than an analyst estimate of $0.19, according to data from Fiscal AI.Ford said that the lower earnings were impacted by the fires at a Novelis aluminum supplier plant last year which impacted the company’s F-series truck production. It expands what a single advisor can handle, raises the bar on outcomes, and makes average advice a lot harder to justify.”Altruist said that tax planning is governed by zero data retention agreements with Hazel’s AI model providers, meaning they are prohibited from retaining any data from Altruist or its customers. And this data is not used to train AI models.<h2 class="st-heading-2">Latest Earnings</h2>Charles Schwab in its latest fourth quarter earnings posted a revenue of $6.34 billion, a 19% jump from the year-ago quarter. Meanwhile, it has also captured retail attention, with retail messages around <a href="https://stocktwits.com/symbol/ORCL">ORCL shares</a> having increased by more than 826% in the past 24 hours, according to Stocktwits data from Tuesday morning.<h2 class="st-heading-2">Financing Stance</h2>Most recently, BNP Paribas weighed in on Oracle’s financing, saying that it believes Oracle is confident about delivering on its 2030 targets, according to a <a class="st-link-external" target="_blank" rel="noopener noreferrer nofollow" href="https://seekingalpha.com/news/4549556-oracle-adobe-in-focus-as-bnp-paribas-weighs-in-on-enterprise-software-sell-off">report</a> from Seeking Alpha.BNP’s analyst Stefan Slowinski highlighted Oracle’s balance sheet status, after the company announced its capital plan for 2026 on Feb. 1, which includes raising up to $50 billion in debt and equity to fund the expansion of its cloud infrastructure business.Slowinski noted that while the debt issuance was largely expected by the market, the equity issuance was a surprise. The analyst said that the firm believes that debt market pressures on software companies likely led to the equity issuance.“Given the initial market reaction, we believe the fund raising has calmed some nerves,” Slowinski said in a note to investors, as per the report.However, Slowinski said that he does not believe Oracle will resort to vendor financing as the company’s remarks in its latest results suggest it does not need more than the $100 billion it already has.“Overall, we believe that Oracle remains confident in delivering on its 2030 targets,” Slowinski said. The analyst also noted that Oracle’s datacenter build and delivery targets are on track, and its financing is in place.“While there may be more contracts that need to be won over the next few years and added to the backlog from here in order to meet 2030 top and bottom line targets, Oracle expects more orders from existing AI customers to come through as the AI arms race continues,” the analyst said.<h2 class="st-heading-2">Street Consensus</h2>Meanwhile, Melius Research analyst Ben Reitzes downgraded Oracle to ‘Hold’ from ‘Buy’ with a $160 price target on Monday, according to TheFly. Melius said that it believes the debt and equity will be an overhang for some time for Oracle, adding that the company should be valued more like an infrastructure company versus a software company.Bernstein also lowered its price target on Oracle to $313 from $339 and kept an ‘Outperform’ rating on the shares, citing the uncertainty around how the company will fund the AI datacenter build-out to meet the contracts it signed last year.DA Davidson upgraded Oracle to ‘Buy’ from ‘Neutral’ with a price target of $180 on its shares. The analyst said that it believes a revamped OpenAI will be a top challenger to Google and said that the fresh capital stack will help the company live up to its obligations this year, including to Oracle, which it sees removing the biggest concern from the latter.<h2 class="st-heading-2">Retail Stance</h2>On Stocktwits, retail sentiment around ORCL shares remained in the ‘bullish’ territory over the past 24 hours amid ‘high’ message volumes.One bullish user shared their research on some hyperscalers.
