Drone Maker Aevex Shares Surge 22% In NYSE Debut, Valuation Hits $2.7B

The Solana Beach, California-based drone maker raised $320 million through the offering, issuing 16 million shares of its common stock.

This includes Pershing Square Inc. (PS), the prospective parent company of Pershing Square Capital Management, and a closed-end fund, Pershing Square USA (PSUS).In its filing with the U.S. Securities and Exchange Commission (SEC), Pershing Square stated that it has already secured $2.8 billion in commitments ahead of the IPO.<h2 class="st-heading-2">Ackman Touts ‘Extraordinary Economic Characteristics’</h2>In a letter to shareholders, the billionaire investor touted “extraordinary economic characteristics” of Pershing Square as he sought to explain the fund’s long-term goal.“Our long-term goal for Pershing Square Inc. is to build one of the most valuable companies in the world by generating one of the best long-term performance records of any investor ever,” Ackman said.He added that, with permanent capital, Pershing Square has the ideal structure to pursue its investment strategy, which involves acquiring and long-term owning what the company considers some of the greatest businesses and long-term compounders of shareholder value.Ackman also explained that PSI can be considered a “meta” company, earning long-term fees from funds invested in high-quality businesses. He said that Pershing Square’s focus on liquid, large-cap stocks allows it to adjust positions easily and stay invested without pressure from investor flows.<h2 class="st-heading-2">What Will Investors Get?</h2>Investors who subscribe to shares of Pershing Square USA will also receive shares of the hedge fund, Pershing Square Inc. According to the SEC filing, investors who buy 100 shares of the closed-end fund PSUS will also receive 20 shares of the hedge fund, PSI.The closed-end fund’s shares are priced at $50 apiece, and the shares they will receive in the hedge fund will come at no extra cost.Investors participating in the $2.8 billion private placement will receive 30 shares of the hedge fund for every 100 shares of the closed-end fund, according to the filing.<h2 class="st-heading-2">Nearly Two-Year Delay</h2>Ackman had previously sought to take Pershing Square public in 2024, at a valuation of up to $25 billion. However, he shelved the plans, citing “enormous” sensitivity to the transaction size, in a letter to shareholders in July 2024.Pershing Square has about $30.7 billion in assets under management. The company stated that its closed-end fund, PSUS, will charge a 2% management fee but not a performance fee.<a href="https://stocktwits.com/symbol/PSHZF">PSHZF stock</a> was flat in Monday’s pre-market trade. The company is seeking to raise between $5 billion and $10 billion, according to the filing.Ackman had previously sought to take Pershing Square public in 2024.<h2 class="st-heading-2">Pershing To Adopt A Dual Listing Structure</h2>Pershing Square stated in its filing that the offering will take a dual listing approach. This includes the shares of Pershing Square USA, a closed-end fund, as well as those of Pershing Square Capital Management, a hedge fund.For every 100 shares subscribed by investors through the IPO, they will also receive 20 shares of the hedge fund. Investors participating in the $2.8 billion private placement will receive 30 shares of the hedge fund for every 100 shares of the closed-end fund, according to the filing.Investors will be able to subscribe to the company's shares at $50 apiece. Pershing Square common shares trade under the symbol “PS” while the closed-end fund’s shares will trade under the symbol “PSUS.”<h2 class="st-heading-2">Ackman’s Pivot</h2>The Pershing Square IPO filing comes after Ackman’s attempt to list the closed-end fund at a valuation of $25 billion fell apart in 2024.Ackman stated in a July 2024 letter to shareholders that there is an “enormous” sensitivity to the size of the transaction.“Particularly in light of the novelty of the structure and closed-end funds’ very negative trading history, it requires a significant leap of faith and ultimately careful analysis and judgment for investors to recognize that this closed-end company will trade at a premium after the IPO when very few in history have done so,” he said.The investor has cited Warren Buffett as his inspiration behind launching Pershing Square, according to a CNBC&nbsp;<a class="st-link-external" target="_blank" rel="noopener noreferrer nofollow" href="https://www.cnbc.com/2024/07/14/ackman-says-buffetts-career-inspired-him-to-ipo-pershing-square-funds.html">report</a>. “I found eventually copies of the early Buffett partnership letters, which told an interesting story. Bill Ackman’s Pershing Square Files For IPO After A Delay Of More Than A Year

In its filing with the U.S. Securities and Exchange Commission, Pershing Square stated that it has secured $2.8 billion in commitments ahead of the IPO.

(META).According to a <a class="st-link-external" target="_blank" rel="noopener noreferrer nofollow" href="https://www.bloomberg.com/news/articles/2026-02-24/coreweave-seeks-8-5-billion-loan-from-banks-backed-by-meta-deal">report</a> from Bloomberg, which cited people familiar with the matter, the proposed deal would be a delayed-draw term loan that would be backed by a previously-signed contract with Meta under which the company agreed to pay CoreWeave up to $14.2 billion for its services.The deal would also be backed by a separate, previously unreported agreement between the two companies valued at over $5 billion, according to people cited in the report.Morgan Stanley and Mitsubishi UFJ Financial Group Inc. are among the banks that CoreWeave is looking to raise the funds from, and the deal is expected to close in March, as per the report.<a href="https://stocktwits.com/symbol/CRWV">Shares of CRWV</a> closed 9.3% higher on Tuesday, climbing 0.08% higher after-hours at the time of writing.<h2 class="st-heading-2">The Meta Advantage</h2>Although CoreWeave has a speculative-grade credit rating from top credit agencies, including Meta in its loan application will likely boost it to an investment-grade rating on the loan, as per the people cited in the Bloomberg report.This would result in lower borrowing costs. The company is discussing the new loan’s pricing at about 2.25 percentage points above the Secured Overnight Financing Rate. This is likely to be an interest rate of about 6% at current levels, as per the people.Although the new loan does not require a parent guarantee given the strength of Meta’s contracts, CoreWeave is still expected to reflect it on its balance sheet for transparency, the report added.Morgan Stanley and MUFG are privately syndicating the loan to additional lenders, as per the report.<h2 class="st-heading-2">How Did Users React On Stocktwits?</h2>On Stocktwits, retail sentiment around CRWV shares remained in the ‘bullish’ territory over the past 24 hours amid ‘high’ message volumes.The company is expected to report fourth-quarter (Q4) earnings on Thursday.
